Terms & Conditions – LoomTrack

These Terms & Conditions (“Terms”) govern your access to and use of LoomTrack, a Software-as-a-Service (SaaS) product developed and operated by TexnovaLabs LLP (“Company”, “we”, “our”, or “us”).

By using LoomTrack, you agree to be bound by these Terms. If you do not agree, you must not use LoomTrack.

1. Definitions

  • “Customer” – The organization or individual who subscribes to LoomTrack.
  • “Authorized Users” – Employees or representatives permitted by the Customer to use LoomTrack.
  • “Customer Data” – Business and operational data inputted into LoomTrack by the Customer or Authorized Users.

2. Eligibility & Accounts

  • LoomTrack is intended for business use only.
  • Customers are responsible for maintaining the confidentiality of login credentials.
  • Any activity under a Customer’s account will be deemed authorized by the Customer.

3. Scope of Service

  • LoomTrack provides digital solutions for order management, material tracking, production workflows, inventory management, and related analytics.
  • TexnovaLabs LLP does not guarantee uninterrupted access and may perform maintenance or upgrades with reasonable notice.
  • Features may evolve over time, but we will not materially reduce core functionality without notice.

4. Customer Data & Ownership

  • All Customer Data remains the property of the Customer.
  • TexnovaLabs LLP only processes Customer Data to:
    1. Provide and operate LoomTrack.
    2. Improve LoomTrack through analytics (in aggregated or anonymized form).
    3. Ensure system security and compliance.
  • Customer Data will not be sold or disclosed to third parties for commercial purposes.

5. Subscription, Payment & Invoicing

  • LoomTrack services are provided on a subscription basis as per agreed pricing.
  • Payments are made via invoice only (no online payment integration at present).
  • Invoices must be settled within 7 days from the invoice date.
  • Late payments may result in service suspension.

6. Refund Policy

  • All invoiced payments are non-refundable.
  • If a Customer terminates services before the end of the billing cycle, no partial or pro-rata refund will be provided unless explicitly agreed in writing.

7. Trial Periods & Promotional Offers

  • TexnovaLabs LLP may, at its discretion, offer a trial period for LoomTrack, during which Customers can use the service without charge or at a reduced rate.
  • Trial access is provided solely for evaluation purposes and may be limited in duration, features, or data capacity.
  • At the end of the trial, continued access requires a paid subscription under standard invoicing terms.
  • TexnovaLabs LLP reserves the right to withdraw, modify, or terminate any trial or promotional offer at any time without prior notice.
  • Any discounts, promotional credits, or offers are valid only for the specified duration and cannot be transferred, redeemed for cash, or applied retroactively to past invoices.
  • Standard Terms (including data ownership, confidentiality, and liability limitations) apply during trial use.

8. Termination & Suspension

  • Either party may terminate this Agreement with 30 days’ written notice.
  • TexnovaLabs LLP may suspend or terminate access immediately in cases of:
    • Non-payment.
    • Breach of these Terms.
    • Misuse of the service (e.g., unlawful or harmful activities).
  • Upon termination, Customers may request data export. Customer Data will be deleted within 60 days of account closure.

9. Intellectual Property

  • LoomTrack, including its software, design, and documentation, is owned by TexnovaLabs LLP.
  • Customers are granted a limited, non-exclusive, non-transferable license to use LoomTrack during the subscription term.
  • Customers may not copy, reverse-engineer, or create derivative works of LoomTrack.

10. Confidentiality

  • Both parties agree to maintain the confidentiality of sensitive business information shared during the course of engagement.
  • TexnovaLabs LLP will treat Customer Data as confidential and use it only as permitted under these Terms.

11. Limitation of Liability

  • TexnovaLabs LLP will not be liable for indirect, incidental, or consequential damages (including loss of profits, data, or business opportunities).
  • Direct liability shall be limited to the total subscription fees paid by the Customer in the last 12 months.

12. Indemnity

  • Customers agree to indemnify and hold harmless TexnovaLabs LLP from claims, damages, or liabilities arising from:
    • Misuse of LoomTrack.
    • Violation of applicable laws.
    • Infringement of third-party rights caused by Customer Data or actions.

13. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Tamil Nadu.

14. Amendments

We may update these Terms periodically. Material changes will be notified via email or in-app communication. Continued use of LoomTrack after updates constitutes acceptance of the revised Terms.
